The Misco Directors Network’s first workshop on non-executive directors is to be repeated next month in response to numerous requests from directors and organisations.
Around 25 board directors recently participated in the workshop which focused on the challenges faced by non-executive directors. It was facilitated by Joseph F.X. Zahra and Lawrence Zammit.
The Misco Directors Network brings together experienced professionals seeking to serve on Maltese company boards. It is a network of excellence, composed of people who have already been entrusted with board directorships or who are interested in serving as non-executive directors. A series of workshops is planned to address issues, opportunities and challenges which directors regularly.
“We sought to find answers to some of the more frequent questions asked by non-executive directors, such as ‘what and how can I contribute to the company?’, ‘what is the significance of independence?’, ‘how should I handle conflicts of interest?’” Mr Zahra explained.
“We looked at some of the more important ethical issues that are sometimes encountered at board level.”
Mr Zahra added how the workshop examined all aspects of a non-executive directors’ role and generated discussion on how as an ‘outsider’, the director, should aim at having a more objective view of external factors affecting the company in its business environment. The evaluation of board effectiveness was also covered.
Experienced director Tony Potter described the workshop as “enjoyable and educational”. He said the workshop was an eye-opener, that allowed him to appreciate non-executive directors’ roles better.
“The workshop was also very interactive and it succeeded as a networking opportunity as well as a social working event,”he said.
