Corporate Governance - Legal officer

MAIN DUTIES OF THE POSITION:

Reporting, via a team structure, to the Head of Corporate Governance, duties include:

. Liaison with clients, service providers and all other departments;
. Generation of fees;
. Active involvement in the implementation and refinement of procedures;
. Ensuring that requests from client and colleagues are dealt with in a timely and accurate manner;
. Opening Bank accounts, VAT, DP and Tax registration as required;
. Preparation of documentation in compliance with the relevant constitutive documents for a wide range of statutory procedures and various administrative tasks;
. Preparation and drafting of agreements and other legal documentation in conjunction with third party service providers and counsel.
. Ensuring compliance with statutory and regulatory restrictions for client companies;
. Production of accurate follow up points and minutes of meetings within agreed timeframes;
. Assisting in the development of the Department, increasing of fee revenue, enhancement to procedures and processes and maintenance of departmental records;
. Providing both verbal and written reports to the Head of department;
. To maintain internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators.

PRINCIPAL QUALIFICATIONS /SKILL SET REQUIRED:

. Law Degree or equivalent;
. ICSA Qualified Company Secretary, or Professional Legal qualification;
. Knowledge of corporate secretarial and/or funds industry an advantage;
. Ability to draft legal and corporate documents
. Interest in commercial/company law generally
. Good working knowledge/skills of Microsoft Office (i.e. Word, e-mail, Excel);
. Effective organizational skills, with ability to prioritise in a changing environment;
. Proactive, with a willingness to take ownership of problems, attention to detail and ability to subscribe to the exacting standards required;
. Ability to manage a large number of projects and issues simultaneously and to tight deadlines;
. Be self motivated with a structured and determined approach to work;
. High degree of communication skills, verbal and written with the ability to communicate externally and internally at all levels;
. Ability to work with multi-cultural teams;
