I write in my capacity as director of TubeLine Limited and refer to the articles published on August 3 and 4 relating to the alleged involvement of Magistrate Aaron Bugeja as current legal representative of TubeLine Limited.

This is not correct and I am writing this letter to set the record straight. According to the company’s memorandum of association, the legal representation was vested in any one of the directors acting together with the company secretary (or without prejudice to the aforesaid by any other person or persons nominated by the board of directors from time to time).

Bugeja served as company secretary and joint legal representative until his date of resignation on October 19, 2006, when he signed the relative Form K. This form was filed on November 2, 2006, as the Registry of Companies’ records clearly show.

He could therefore no longer be (and was not specifically delegated to act as) joint legal representative of the company from October 19, 2006. Since then, the company changed its legal counsel and Bugeja’s services were no longer required.

Following a search carried out on August 3 by the company’s accountant with the Registry of Companies it transpired that, despite this unequivocal fact, until the morning of August 3, 2016 the website of the Registry of Companies still showed Bugeja as legal representative of the company. This was clearly not the correct position since October 19, 2006.

After drawing the attention of the Registry of Companies about this discrepancy in their records, the situation was immediately rectified by the registry.
